Terms of Sale

These Terms of Sale govern purchases of products from LeeLoo Commerce LLC, a Wyoming limited liability company registered to do business in Florida ("LeeLoo", "we"), by business and government customers ("Customer"). By placing an order or paying an invoice, the Customer agrees to these terms.

1. Quotes and orders

Quotes are valid for the period stated on the quote, or 30 days if none is stated. An order is accepted when we confirm it in writing or ship the products. Product descriptions, specifications and quantities are as stated on the quote or invoice.

2. Prices and taxes

Prices are in U.S. dollars. Applicable sales tax is added unless the Customer provides a valid exemption or resale certificate. Government purchases are processed as tax-exempt where applicable.

3. Payment

We accept credit and debit cards (including government purchase cards), ACH and wire transfer. Card payments are processed securely by our payment processor, Stripe; we do not store full card numbers. Invoices are due upon receipt unless other terms are agreed in writing.

4. Shipping and delivery

Products ship to the address specified by the Customer within the United States. Estimated delivery dates are provided at order confirmation. Title and risk of loss pass to the Customer upon delivery.

5. Returns and refunds

Returns and refunds are governed by our Refund & Return Policy.

6. Warranty

Products are covered by the manufacturer's warranty where applicable. LeeLoo warrants that products will be new (unless stated otherwise), as described, and free of defects at delivery. Except as stated here, products are provided without other express or implied warranties to the extent permitted by law.

7. Limitation of liability

To the extent permitted by law, LeeLoo's total liability for any order is limited to the amount paid for that order, and LeeLoo is not liable for indirect or consequential damages.

8. Government customers

For purchases by U.S. government agencies, the terms of the applicable purchase order or contract, including applicable Federal Acquisition Regulation clauses, prevail over these terms where they conflict.

9. Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, except where federal law applies.
